Business Owners in Dispute

A company run by two directors was exploring options for one director to leave. When we were approached, both directors were open to either one taking over, as they were on good terms. However, our discussions revealed that only one director could viably move forward with the company, so we began structuring a deal around this scenario. Unfortunately, relations between the directors deteriorated, requiring us to mediate between the parties. Despite a challenging negotiation, we reached an agreement allowing one director to exit with a small payment and take up employment elsewhere. The remaining director gained full control of the company and possessed the necessary skills to continue its operations. We provided advice on the deal’s structure, asset division, tax liabilities, directors’ loan transfers, and mediated throughout the process.
